Please read these Terms and Conditions carefully before using the services or website operated by Symvox ("Company", "we", "us", or "our"). By accessing our website or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Definitions
- "Service" means the consulting, advisory, benchmarking, digital readiness assessment, and transformation services provided by Symvox, whether delivered in person, remotely, or via written deliverables.
- "User" / "Client" means any individual, company, or entity that accesses our website or engages our services.
- "Agreement" means these Terms and Conditions, together with any signed engagement letter, proposal, or service order.
- "Deliverables" means any reports, analyses, recommendations, frameworks, or other outputs produced during the engagement.
- "Confidential Information" means any non-public information shared between the parties in the context of an engagement.
2. Acceptance of Terms
By submitting an inquiry form on our website, signing a service proposal, or otherwise engaging Symvox, you confirm that you have the legal capacity and authority to enter into this Agreement — either on your own behalf or on behalf of the organisation you represent.
Our services are intended for business entities and professionals. Individuals must be at least 18 years of age to engage our services.
If you do not agree to these Terms, please do not use our website or engage our services.
3. Service Description
Symvox provides business consulting services to enterprises in Vietnam and the wider Southeast Asian region. Our core service areas include industry benchmarking, digital readiness assessment, and transformation advisory. The scope, timeline, and deliverables for each engagement are defined in a separate service agreement or proposal.
We reserve the right to modify or discontinue any service at any time, with reasonable notice to active clients. Geographic or regulatory constraints may limit service availability in certain circumstances.
Symvox does not guarantee specific business outcomes, revenue figures, or competitive positioning as a result of our advisory services. All consulting outputs represent professional judgement based on information available at the time of the engagement.
4. User Responsibilities
As a client or website user, you agree to:
- Provide accurate, complete, and timely information required for service delivery
- Notify us promptly of any material changes to your business, structure, or priorities that may affect the engagement
- Use our deliverables and recommendations for lawful purposes only
- Not reproduce, resell, or redistribute any deliverables to third parties without our written consent
- Not misrepresent your relationship with Symvox or use our name in any way that could mislead others
- Not use our website to transmit harmful, unlawful, or disruptive content
5. Intellectual Property
All content on this website — including text, design, graphics, methodologies, and frameworks — is the intellectual property of Symvox or its licensors and is protected under applicable Vietnamese and international copyright law.
Upon full payment, clients receive a limited, non-exclusive, non-transferable licence to use deliverables produced during their engagement for internal business purposes only. This licence does not transfer ownership of the underlying methodologies, templates, or proprietary frameworks used to produce those deliverables.
Any client materials shared with Symvox during an engagement remain the property of the client. We will not use such materials for purposes beyond the scope of the agreed engagement.
6. Payment Terms
Fees for our services are set out in the relevant service proposal or engagement letter. Unless otherwise agreed, invoices are due within 14 days of issue. Payments are accepted in Vietnamese Dong (VND) or by prior agreement in USD.
Late payments may incur interest at the rate of 1.5% per month on the outstanding balance. Symvox reserves the right to suspend or terminate services where an invoice remains unpaid beyond 30 days.
Fees paid for completed service milestones are non-refundable. Where an engagement is cancelled before commencement, a cancellation fee may apply as detailed in the relevant service agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of information designated as confidential or which a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.
This obligation does not apply to information that: (a) was already in the public domain at the time of disclosure; (b) was independently developed without reference to the confidential information; or (c) is required to be disclosed by law or regulatory authority.
Confidentiality obligations survive the termination of an engagement for a period of three years.
8. Disclaimers
Our services are provided on a professional best-efforts basis. While we apply rigorous methodologies and experienced judgement, consulting recommendations are inherently advisory in nature and do not constitute legal, financial, or regulatory advice unless explicitly agreed otherwise in writing.
Our website and its content are provided "as is" without warranties of any kind, express or implied. We do not guarantee that the website will be continuously available or free from errors.
Market conditions, competitive landscapes, and business environments can change rapidly. Recommendations that were sound at the time of delivery may require revisiting as circumstances evolve.
9. Limitation of Liability
To the maximum extent permitted by Vietnamese law, Symvox shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or business interruption — arising from or related to the use of our services or website.
Our total liability for any claim arising from a specific engagement shall not exceed the total fees paid for that engagement during the six months preceding the claim. This limitation applies regardless of the form of action.
10. Indemnification
You agree to indemnify and hold harmless Symvox, its directors, advisors, and staff from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of our services or deliverables in violation of applicable law; or (c) any inaccurate or incomplete information you provided during an engagement.
11. Termination
Either party may terminate an engagement with 14 days' written notice. Symvox may terminate immediately where a client breaches these Terms, fails to pay outstanding invoices, or engages in conduct that compromises the integrity of the advisory relationship.
Upon termination, clauses relating to confidentiality, intellectual property, limitation of liability, and dispute resolution shall remain in full force and effect.
12. Dispute Resolution
These Terms are governed by the laws of the Socialist Republic of Vietnam. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of one party notifying the other of the dispute in writing.
If negotiation is unsuccessful, disputes shall be submitted to the competent courts of Ho Chi Minh City, Vietnam, whose jurisdiction both parties accept for the resolution of any disputes arising under these Terms.
13. General Provisions
- Entire Agreement: These Terms, together with any executed service agreement, constitute the entire agreement between the parties and supersede prior representations or understandings.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.
- Waiver: Failure by either party to enforce any provision does not constitute a waiver of the right to enforce that provision in the future.
- Assignment: Clients may not assign rights or obligations under these Terms without our prior written consent. Symvox may assign these Terms in the event of a corporate reorganisation or acquisition.
- Force Majeure: Neither party shall be liable for delays or failure to perform caused by events beyond their reasonable control, including natural disasters, pandemics, or government actions.
14. Changes to Terms
We reserve the right to update these Terms at any time. Revised Terms will be posted on this page with an updated effective date. For active engagements, material changes will be communicated by email at least 14 days before they take effect.
Continued use of our website or services following notification of changes constitutes your acceptance of the revised Terms.
